This Affiliate Agreement (the “Agreement”) is made and entered into between you (the Affiliate) and the Merchant (Lemon Cymbals UK) when you (the Affiliate) creates an affiliate account.  Please read it carefully.

The Merchant desires to engage the Affiliate to promote and market the Merchant’s products and services (the “Products”) on the Affiliate’s website, social media and other marketing channels; and the Affiliate desires to promote and market the Products in exchange for a commission on sales generated from such promotion and marketing.

In consideration of the mutual covenants contained herein, the parties agree as follows:

1. Affiliate’s Duties

The Affiliate agrees to:

Promote and market the Products in accordance with the Merchant’s marketing guidelines (the “Marketing Guidelines”) as set out below.

The Merchant agrees to:

Pay the Affiliate a commission on all validated sales generated from its promotion and marketing of the Products in accordance with the commission schedule as follows:

3. Commission 

The Merchant shall pay the Affiliate a commission of 5% on sale items generated from the Affiliate’s promotion and marketing of the Products. The commission shall be calculated based on the net sales price of the Products, excluding any taxes, shipping charges, or other charges. Affiliates must use the official affiliate link assigned to them and only sales that register successfully via this link within 60 days will be treated as valid. Affiliate links are tracked with a 60 day cookie.  

4. Payments

The Merchant will pay the Affiliate’s earned commissions on a rolling 30 day period as of the customer order date.  Commission on items that are returned by the customer within 30 days window will not be paid out nor will purchases made by the affiliate themselves.  The affiliate must submit an invoice for commissions due to affiliates@lemoncymbals.co.uk which upon receipt, will be validated and paid with 5 working days via PayPal.  No other paymeny method shall be used.  It is the affiliates responsibility to clearly indicate the PayPal email address they wish the funds to be paid into. The minimum payment threshold is £20.00 GBP.

5. Term and Termination

This Agreement shall commence on the date when an affiliate account is created and approved by the Merchant and shall continue for a rolling period of 30 days.  The merchant reserves the right to cancel an affiliate account without notice, if it is deemed that the affiliate is not acting in good faith.

Either party may terminate this Agreement upon 5 days’ written notice to the other party.

This Agreement may be terminated immediately upon written notice to the other party if the other party breaches any of its material obligations under this Agreement and fails to cure such breach within days of written notice thereof.

6. Confidentiality

Each party agrees to maintain the confidentiality of all confidential information of the other party, including, but not limited to, customer lists, pricing information, and marketing plans.

7. Indemnification

Each party agrees to indemnify and hold harmless the other party from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with its breach of this Agreement.

8. Notices

All notices and other communications hereunder shall be via email.  All affiliate related email should be sent to: affiliates@lemoncymbals.co.uk

9. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the the United Kingdom.

11. Severability

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck from this Agreement and the remaining provisions shall remain in full force and effect.
